Purchases are made through our reseller and Merchant of Record, Dodo Payments, which handles checkout, payment, sales tax/VAT/GST and invoicing. These Terms govern your use of the Uniwork service itself.
1. The agreement
These Terms of Service (“Terms”) are a contract between Estreetz Technologies Private Limited, [REGISTERED ADDRESS] (“Uniwork”, “we”), and the business or organization that creates an account (“Customer”, “you”). By creating an account, clicking to accept, or using the service, you agree to these Terms, our Privacy Policy and, for Customer Data, our Data Processing Addendum [DPA LINK]. If you accept on behalf of a business, you confirm you are authorised to bind it. Uniwork is for business use; you must be at least 18. A signed order form, if any, prevails over these Terms where they conflict.
2. Definitions
- Service — the Uniwork platform: organizations and workspaces, built-in and custom apps, UniAgent, App Studio, automations, integrations, messaging channels, APIs, MCP endpoints and clients.
- Members — people in your organization who hold a paid seat (including owners and admins). Viewers — staff who only use your apps, free within your plan’s allowance. External users — your customers, clients or suppliers who use an app or website you publish on Uniwork. Together, “Users”.
- Customer Data — data that you or your Users submit to, or collect through, the Service.
- Plan — the subscription tier (Standard, Pro, Max or Enterprise) and its published allowances.
3. Accounts
Give accurate information and keep it current. Each login is for one individual — do not share credentials. You are responsible for everything done under your organization’s accounts and for configuring roles and permissions; tell us promptly at hello@uniwork.ai if you suspect unauthorised access. We may require e-mail verification, bot checks or other verification before an account is activated.
4. Plans, seats and billing
- Per seat. Subscriptions are priced per Member seat per month (or year, where offered), as shown on our pricing page or your order. Each seat adds its plan’s allowances (AI credits, compute, storage, Viewer and External-user allowances) to one pool shared by your organization.
- Merchant of Record. Dodo Payments sells the subscription to you as Merchant of Record. It processes your payment, calculates and collects applicable taxes, and issues invoices; its own terms and privacy policy apply to the purchase. Prices exclude taxes unless stated.
- Renewal. Subscriptions renew automatically at the end of each billing period until cancelled. We will give at least 30 days’ notice of a price increase, which applies from your next renewal.
- Changes in seats or plan. Adding seats or upgrading takes effect immediately and is charged pro rata for the rest of the period. Removing seats or downgrading takes effect at the next renewal.
- Non-payment. If a payment fails we will retry and notify you. If it remains unpaid after [e.g. 14] days we may make the organization read-only and then suspend it until paid.
5. Free trials and coupons
- Trial. New organizations may get a 14-day free trial with the allowances shown at sign-up; no card is required. One trial per business — creating further organizations, accounts or e-mail addresses to obtain more trials or trial credits is prohibited (section 9).
- When a trial ends without a subscription, the organization becomes read-only for 7 days (you can still view and export), and is then paused. Subscribing at any point restores it. Paused trial data is deleted as described in the Privacy Policy.
- Coupons and promotional codes are valid only for the offer, period and eligible customer stated; have no cash value; cannot be transferred, sold or combined unless stated; and may be withdrawn at any time. We may void codes and recover the value obtained where a code was used fraudulently, in breach of its terms, or across multiple accounts.
- Trial and promotional access is provided “as is”, and may be changed or ended at our discretion.
6. Refunds
Fees are payable in advance and, except as stated here or required by law, are non-refundable, including for partial periods and unused seats or credits. [REFUND WINDOW — e.g. If you are not satisfied with your first paid subscription, ask within 7 days of the first charge for a full refund.] If we terminate for convenience or materially fail to provide the Service, we refund prepaid fees for the unused period. Refunds are issued by Dodo Payments to the original payment method. Please contact us before raising a chargeback; an unjustified chargeback may lead to suspension.
7. Cancellation and your data
You may cancel at any time in billing settings; cancellation takes effect at the end of the current billing period. After that we keep your Customer Data so you can export it or reactivate for 30 days on Standard, 60 days on Pro and 90 days on Max (Enterprise as agreed), then permanently delete it, with backups rolling off afterwards as described in the Privacy Policy. Export tools are available while the organization is active or read-only.
8. Fair usage
Each plan includes pooled allowances (AI credits, compute, storage, database size, Viewers and External users). When an allowance runs out, the related feature may pause, slow down, or require an add-on or upgrade until the next period. Allowances are sized for normal business use by your organization: we may apply rate limits, and may throttle or suspend usage that degrades the Service for others, that looks automated or abusive, or that is designed to extract allowances rather than use them (for example reselling AI credits or running the Service as a bulk API for third parties).
9. Acceptable use
You and your Users must not:
- create multiple accounts or organizations to obtain extra trials, credits, coupons or allowances, or otherwise evade limits, suspensions or bans (“account farming”);
- sign up with disposable or temporary e-mail addresses, false identities, or someone else’s details;
- use bots, scripts or automated means to create accounts, or to access the Service other than through our documented APIs and MCP endpoints within their limits;
- send spam or unsolicited bulk messages, or breach the WhatsApp Business, Meta, Telegram or e-mail provider policies (including opt-in and opt-out rules);
- upload or distribute unlawful, infringing, defamatory, deceptive, hateful or sexually exploitative content, malware, or phishing pages;
- probe, scan, load-test or attack the Service or other customers, or bypass security or isolation controls, without our written permission;
- scrape, reverse-engineer or copy the Service to build a competing product, except as the law permits;
- use the Service for high-risk activities where failure could cause death, injury or serious damage, or to make solely automated decisions with legal effects on individuals without the human review the law requires;
- violate any law, including export-control, sanctions, consumer-protection, data-protection and anti-spam laws.
Enforcement. To detect abuse we use signals described in our Privacy Policy, including hashed device identifiers and browser fingerprints. If we reasonably believe these rules are being broken we may, with or without notice depending on severity, remove content, limit features, suspend or terminate accounts and organizations, void trials and coupons, and temporarily block IP addresses. Where practical we will tell you why and give you a chance to respond; write to hello@uniwork.ai to appeal.
10. Customer Data
You own your Customer Data. You grant us a limited licence to host, process, transmit and display it only to provide, secure and support the Service, and as our Privacy Policy and DPA describe. You are responsible for having the rights and lawful basis to process it — including notices and consents to your own customers, staff and External users (for example opt-in before messaging someone on WhatsApp). We process Customer Data as your processor and will not access it except to provide the Service, prevent or address technical or security problems, at your request, or as required by law. We may use aggregated, de-identified usage statistics that do not identify you or any individual to operate and improve the Service.
11. AI features
AI features (including UniAgent and App Studio) generate output from your inputs using third-party models. Output may be inaccurate, incomplete or similar to output given to others; you are responsible for reviewing it and for how you use it, including any code or app it builds. As between us, you own your inputs and outputs. We do not use your Customer Data, prompts or outputs to train AI models, and we require our model providers not to. AI actions run with the permissions of the User who triggered them.
12. Your apps and external users
Apps, websites and automations you build or install on Uniwork are your responsibility, including their content, the terms and privacy notices you give your External users, and any payments you take through your own payment provider. We may suspend an app that breaches these Terms or creates a security risk, and will tell you why. Store apps and templates we provide are licensed to you for use within the Service.
13. Third-party services
The Service lets you connect third-party services — for example WhatsApp (Meta), Telegram, Google, Microsoft, payment providers, and tools reached through our connector partner Composio. Your use of them is governed by their terms; we are not responsible for them, and a provider may change or end its service, which can affect a feature. You authorise us to exchange data with the services you connect.
14. Our intellectual property
We and our licensors own the Service, including its software, design, models we build and documentation. Subject to these Terms and payment, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes during the subscription. If you send us feedback, we may use it without obligation to you.
15. Confidentiality
Each party will protect the other’s non-public information with reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by similar duties, or where the law requires (with notice where lawful).
16. Availability, support and changes
We work to keep the Service available and secure, and provide support by e-mail at hello@uniwork.ai. Service levels, if any, are set out in your order form. We may update the Service; we will not materially reduce core functionality of a paid plan during a paid period without notice. Features marked beta, preview or early access are provided as is and may change or end.
17. Disclaimers
Except as expressly stated, the Service is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and that the Service will be uninterrupted or error-free.
18. Limitation of liability
To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused; and (b) each party’s total liability arising out of these Terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party’s indemnity obligations, breach of section 9, or liability that cannot be limited by law.
19. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your apps, or your or your Users’ breach of section 9. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights. The indemnified party must give prompt notice, reasonable cooperation and control of the defence.
20. Term and termination
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice; we may suspend or terminate immediately for serious or repeated breach of section 9, non-payment, or where required by law. On termination your right to use the Service ends, and section 7 governs your data. Sections that by their nature should survive (including 6, 10, 14–15 and 17–22) survive.
21. Governing law and disputes
These Terms are governed by the laws of India. The courts at [CITY], India have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have where you live. Before going to court, the parties will try in good faith to resolve a dispute by escalation for 30 days.
22. General
We may change these Terms; we will post the new version here and, for material changes, notify account owners at least 30 days in advance — continuing to use the Service after that date means you accept them. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger or sale. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is unenforceable, the rest remains in effect. These Terms, the Privacy Policy, the DPA and any order form are the entire agreement. Notices to us: hello@uniwork.ai and [REGISTERED ADDRESS].
